You must be 18 years or older or at least the age of majority in the jurisdiction where you reside or from which you use this Service.
You must provide your full legal name, current address, a valid email address, and any other information needed in order to complete the signup process.
You acknowledge that Edu2Health will use the email address you provide as the primary method for communication.
You are responsible for keeping your password secure. Edu2Health cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password.
You are responsible for all activity and content such as videos, files, data, graphics, photos and links that is uploaded under your Edu2Health account (“Course Content”). You must not transmit any worms or viruses or any code of a destructive nature.
A breach or violation of any term in the Terms of Service as determined in the sole discretion of Edu2Health will result in an immediate termination of your services.
2. Account Activation
Subject to section 2.2, the person signing up for the Service will be the contracting party (“Account Owner”) for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding account we may provide to the Account Owner in connection with the Service.
If you are signing up for the Service on behalf of your employer, your employer shall be the Account Owner. If you are signing up for the Service on behalf of your employer, then you represent and warrant that you have the authority to bind your employer to our Terms of Service.
3. General Conditions
Technical support is only provided to paying account holders and is only available via email.
You may not use the Edu2Health service for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws) as well as the laws of Canada and the Province of Ontario.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by Edu2Health.
You shall not purchase search engine or other pay per click keywords (such as Google AdWords), or domain names that use Edu2Health or Edu2Health trademarks and/or variations and misspellings thereof

You understand that your Course Content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit Card information is always encrypted during transfer over networks.
If you are on Edu2Health plan with transaction fees and don’t have written consent from Edu2Health, you agree not to charge people to access your courses other than by collecting payments on the Edu2Health Service. Any attempt to bypass the Edu2Health payment system to avoid transaction fees may result in the suspension or cancellation of your account. If you would like to avoid transaction fees please contact us to switch to a no fees plan.
4. Edu2Health Rights
We reserve the right to modify or terminate the Service for any reason, without notice at any time.
We reserve the right to refuse service to anyone for any reason at any time.
We may, but have no obligation to, remove Course Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
Verbal or written abuse of any kind (including threats of abuse or retribution) of any Edu2Health customer, Edu2Health employee, member, or officer will result in immediate account termination.
Edu2Health does not pre-screen Course Content and it is in their sole discretion to refuse or remove any Course Content that is available via the Service.
We reserve the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that Edu2Health employees and contractors may also be Edu2Health customers/instructors and that they may compete with you, although they may not use your confidential information in doing so.
In the event of a dispute regarding account ownership, we reserve the right to request documentation to determine or confirm account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government issued photo ID, the last four digits of the credit card on file, etc.
Edu2Health retains the right to determine, in our sole judgment, rightful account ownership and transfer an account to the rightful owner. If we are unable to reasonably determine the rightful account owner, Edu2Health reserves the right to temporarily disable an account until resolution has been determined between the disputing parties.
5. Limitation of Liability
You expressly understand and agree that Edu2Health shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.
In no event shall Edu2Health or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or this agreement (however arising including negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, Edu2Health partners, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
Your use of the Service is at your sole risk. The Service is provided on an ”as is“ and ”as available“ basis without any warranty or condition, express, implied or statutory.
Edu2Health does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
Edu2Health does not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.
Edu2Health does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, or that any errors in the Service will be corrected.
In no event will Service Provider’s aggregate liability for all claims of any kind, including any claims arising out of or related to this agreement, whether by statute, contract, tort, or under any other theory of liability, exceed the fees paid by you for the Edu2Health Service hereunder during the one (1) month period immediately preceding the date on which the cause of action arose.
6. Waiver and Complete Agreement
The failure of Edu2Health to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Edu2Health and govern your use of the Service, superseding any prior agreements between you and Edu2Health (including, but not limited to, any prior versions of the Terms of Service).
7. Intellectual Property and Customer Content
We do not claim any intellectual property rights over the material you provide to the Edu2Health service. All material you upload remains yours. You can remove your Edu2Health site at any time by deleting your account. This will also remove all content you have stored on the Service.
By uploading Course Content, you agree: (a) to allow other internet users to view your Course Content; (b) to allow Edu2Health to display and store your Course Content; and (c) that Edu2Health can, at any time, review all the Course Content submitted by you to its Service.
You retain ownership over all Course Content that you upload to a Edu2Health site; however, by making your site public, you agree to allow others to view your Course Content. You are responsible for compliance of Course Content with any applicable laws or regulations.

We will not disclose your confidential information to third parties, except as required in the course of providing our services. Confidential information includes any materials or information provided by you to us which is not publicly known. Confidential information does not include information that: (a) was in the public domain at the time we received it; (b) comes into the public domain after we received it through no fault of ours; (c) we received from someone other than you without breach of our or their confidentiality obligations; or (d) we are required by law to disclose.
8. Payment of Fees
A valid credit card is required for accounts able to process orders using a live payment gateway. Accounts used for development purposes (unable to process orders using a live payment gateway) do not require a valid credit card.
The service will be billed in 30 day intervals. When your billing period is over the Account Owner will be sent an invoice via the email provided. Users have approximately two weeks to bring up and settle any issues with the billing.
All fees are exclusive of applicable federal, provincial, state, local or other governmental sales, goods and services, harmonized or other taxes, fees or charges now in force or enacted in the future (“Taxes”).
If you are resident in the U.S., Taxes may apply to your subscription to or purchase of some or all of Edu2Health’s products and services, including without limitation, your subscription to or purchase of Edu2Health’s ecommerce services (“Taxable Offerings”). Any applicable Taxes are based on the rates applicable to the U.S billing address you provide to us, and will be calculated at the time of purchase of the applicable Taxable Offerings. Such amounts are in addition to fees for the Taxable Offerings and will be billed to the credit card you use to pay for the Taxable Offerings. If you are exempt from payment of such Taxes, you must provide us with an original certificate that satisfies applicable legal requirements attesting to tax-exempt status. Tax exemption will only apply from and after the date we receive such a certificate.
If you are not a resident of Canada or the U.S., and not subject to Canadian Goods and Services Tax/Harmonized Sales Tax (GST/HST) in respect of your subscription to or purchase of Edu2Health’s products and services, Edu2Health will attempt during the purchase process to verify your location and will not charge you tax on top of your purchase. Should Edu2Health request it, you must provide us with a statement by email to finance@Edu2Health.comstating that: (i) you are not a resident of Canada or the U.S.; (ii) you are not GST/HST registered; and (iii) to the extent that you are an individual and not a corporation or other legal entity, you were not physically present in Canada when Edu2Health’s products and services were made available to you. The statement should also include your complete home and/or business location address. To the extent that you are an individual and not a corporation or other legal entity, and your location of usage changes to a place in Canada or the U.S., you must advise us immediately by email to us.
Edu2Health does not provide refunds.
9. Cancellation and Termination
You may cancel your account at anytime by emailing to us and then following the specific instructions indicated to you in Edu2Health’s response.
Once cancellation is confirmed, all of your Course Content will be immediately deleted from the Service. Since deletion of all data is final please be sure that you do in fact want to cancel your account before doing so.
If you cancel the Service in the middle of the month, you will receive one final invoice via email. Once that invoice has been paid you will not be charged again.
We reserve the right to modify or terminate the Edu2Health service for any reason, without notice at any time.
Fraud: Without limiting any other remedies, Edu2Health may suspend or terminate your account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Site.
10. Modifications to the Service and Prices
Prices for using Edu2Health are subject to change upon 30 days notice from Edu2Health. Such notice may be provided at any time by posting the changes to the Edu2Health Site (Edu2Health.com) or the administration menu of your Edu2Health site via an announcement.
Edu2Health reserves the right at any time to time to modify or discontinue, the Service (or any part thereof) with or without notice.
Edu2Health shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
As a user of the Edu2Health.com websites (“websites”), it may be necessary for you to provide MedSim Healthcare Education Company and/or its affiliates (“Edu2Health.com”) with your personal information (“information”) at the time of registration and at various times when using the websites. (The terms “you” and “user” as used herein refer to all individuals and/or entities accessing the websites for any reason or any purpose.) Such information may include, without limitation, your name, date of birth, gender, contact information, Hong Kong identification or passport number, Facebook login name, e-mail address, credit card details, bank account number, education level, occupation, household income, interests and favorite activities etc. You hereby agree that the information you provide to Edu2Health.com is provided voluntarily, and is accurate, true, current and complete. If this is not the case or Edu2Health.com has reasonable grounds to suspect as such, Edu2Health.com has the right to cancel your registration and/or refuse any and all current or future use of the websites and its services to you. If the information you provide to us is incomplete or incorrect, Edu2Health.com may not be able to provide or continue to provide the products, services and merchandise offered in the websites (“merchandise”) to you or may not permit you or may discontinue your access to the websites. You understand that any and all information you provide to Edu2Health.com will be collected and may be used for the purposes of:
(a) collecting data for identity ratification and records;
(b) providing the merchandise,
(c) processing any benefits arising out of or in connection with the merchandise;
(d) analyzing, verifying and/or checking your credit, payment and/or status in relation to the provision of the merchandise;
(e) analyzing and comparing your information with that of others for product/ services customization and/or marketing (direct or otherwise) purposes;
(f) enabling Edu2Health.com to comply with its obligations to internet, interconnect or other industry practices;
(g) sending you information about different products and services;
(h) maintaining contact lists for correspondence;
(i) compiling aggregate statistics on the websites usage;
(j) processing your orders or transactions;
(k) processing of any payment instructions, direct debit facilities and/or credit facilities requested by you;
(l) operating internal controls, including determining amounts owed to or by users, payment or collection of such amounts from users and from any persons providing security for users’ obligations and enforcing any charge or other security granted by or for user;
(m) enabling the daily operation of your account and/or the collection of amounts outstanding in your account in relation to the merchandise;
(n) performing procedures for comparing the user’s data with other information supplied by the user (for whatever purpose), including, without limitation, procedures undertaken for the purpose of taking adverse action against the user (whether such comparison is by manual or automated means);
(o) forwarding publicity and/or marketing materials or other information to users from charitable organizations or any other types of organizations selected by Edu2Health.com from time to time;
(p) meeting any legal, governmental or regulatory requirements in Hong Kong or any other applicable jurisdiction, including disclosure or notification requirements;
(q) assisting any person who is acquiring or participating in any contractual arrangements between Edu2Health.com and the user to evaluate the transaction for such acquisition or participation;
(r) carrying out the user’s instructions, responding to enquiries by that user or made on his/her behalf and providing users with an effective and efficient service; and/or
(s) assisting any bona fide third party in its investigation into any offence and/or tortious act, where such bona fide third party has reasonable grounds for believing that such offence/tortious act is being or has been committed by you in the course of your use of the websites.
(a) any person or bodies corporate or division within MedSim Healthcare Education Company;
(b) any person or bodies corporate under a duty of confidentiality to Edu2Health.com;
(c) employees of Edu2Health.com;
(d) any contractors, agents, other persons or bodies corporate engaged by Edu2Health.com for or in relation to any of the purposes listed above or any third party service providers who provides administrative, telecommunications, computer, payment, securities clearing, insurance, professional or other services to Edu2Health.com;
(e) any banking, financial or other institution with which the user has or proposes to have dealings;
(f) any debt collection or credit reference agency or similar provider of debt collection or credit information services to Edu2Health.com;
(g) any person or corporation to whom a Edu2Health.com company transfers or proposes to transfer its interests and/or obligations in respect of that user or any product or service provided to that user;
(h) any nominee, trustee, co-trustee, centralized securities depository or registrar, custodian, insurance company, estate agent, solicitor or other person who is involved with the provision of Edu2Health.com services or products to that user; or
(i) any person by whom Edu2Health.com is required by applicable legal, governmental or regulatory requirements to make disclosure;
(j) any other person reasonably requiring the same in order for Edu2Health.com to carry out the purposes set out herein. You agree that Edu2Health.com may release your information when such release is reasonably necessary to:
(i) comply with applicable law,
(ii) enforce or apply the terms of any of user agreements,
(iii) protect the rights, property or interest of Edu2Health.com or its users or,
(k) any bona fide third party who has reasonable grounds for believing that an offence and/or tortious act is being or has been committed by you in the course of your use of the websites and has made a reasonable request for the release of your information by Edu2Health.com.
You are aware of your rights under the personal data (privacy) ordinance, including the right:
(1) to check whether we hold any of your information,
(2) to have access to your information held by Edu2Health.com,
(3) to request correction of your information,
(4) to ascertain our policies and practices (from time to time) in relation to the information and the types of information held by us,
(5) to disallow access or use of your information by Edu2Health.com,
(6) to be informed of action taken in response to any such request and/or request that there be attached to your information a statement which you can supply to Edu2Health.com relating to the fact that you have requested a correction. You agree to pay to Edu2Health.com the reasonable charges requested by Edu2Health.com in relation to the time and attendance involved in complying with your request in this regard.
Given the nature of the internet, Edu2Health.com cannot guarantee that the transmission of data is 100% secure. However, Edu2Health.com shall take all practicable steps to ensure that any information collected by Edu2Health.com via the websites is safe and secure from third party interference. However, please be aware that Edu2Health.com’s advertisers or other web sites that have links on the websites may collect personal data about you.
Edu2Health.com shall retain your information for so long as you are a registered user. Once you have given us your personally identifiable information, you may receive from Edu2Health.com, from time to time, telephone calls, email and direct mailings containing promotional materials. If you do not want to receive them, please write to Edu2Health.com’s personal data officer at the address provided below. You may also be asked to indicate your preference before signing up for any of Edu2Health.com’s paid services. You may review and update your information online by visiting the websites.
When you register, you will be given the option to opt-out of subscribing to our regular update service. We will send you e mail alerts for new products, features, enhancements, special offers, contests, events of interest, and one-off marketing promotions. Such alerts may include marketing information about Edu2Health.com, or our selected business partners.
At all times, we will offer you the opportunity to unsubscribe out of any service or update to which you have subscribed. If you change your mind, any e-mail we send you will contain an easy automated unsubscribe link so that you can opt-out of that subscription. Simply follow the indications in the e-mail.
